1. Introduction
These Conditions of Service (“Agreement”) govern the use of the InfoPilot.ai platform, a SaaS (Software as a Service) solution provided by Reload People Ltd., a company registered in England and Wales under company number 14302234, with its registered office at 20-22 Wenlock Road, London, N1 7GU, United Kingdom (“Company”, “we”, “us”, “our”).
By accessing and using InfoPilot.ai, the Customer (“you”, “your”) agrees to be bound by these Terms and Conditions. If you do not agree with these terms, you must not use the platform.
These terms apply to all users of InfoPilot.ai, including businesses, professionals, and organizations that integrate our AI-powered chatbot and automation services into their operations.
2. Definitions
- For the purposes of this Agreement:
- “InfoPilot.ai” refers to the SaaS platform provided by Reload People Ltd., including its web-based services, AI-powered chatbot functionalities, integrations, and all related software and applications.
- “Customer” refers to any individual, business, or entity that subscribes to and uses InfoPilot.ai.
- “User” refers to any individual accessing or interacting with InfoPilot.ai under a Customer’s account.
- “Subscription” refers to the service plan chosen by the Customer, which may be free or paid, as outlined in the pricing model available at https://infopilot.ai/pricing.
- “Service Period” refers to the duration for which the Customer has access to the services, based on their selected plan (monthly, yearly, or otherwise).
- “Data” means any information, text, images, or other content that the Customer inputs into the platform.
- “Third-Party Services” refers to external services that integrate with InfoPilot.ai, such as WhatsApp, Messenger, Slack, Stripe, Google Dialogflow, and OpenAI.
- “Confidential Information” refers to all proprietary or sensitive information disclosed between the parties in the course of using InfoPilot.ai.
3. SaaS License Grant
3.1 License
- The Company grants the Customer a non-exclusive, non-transferable, limited license to access and use InfoPilot.ai for its business operations in accordance with these terms.
- The license is provided on a subscription basis, subject to payment where applicable.
3.2 Restrictions
- The Customer shall not:
- Copy, modify, or create derivative works based on InfoPilot.ai.
- Reverse-engineer, decompile, or attempt to access the source code.
- Use InfoPilot.ai for unlawful purposes or in violation of any applicable regulations.
- Resell, sublicense, or transfer their rights under this Agreement.
3.3 Service Availability
- The Company does not guarantee uninterrupted service and shall not be liable for unavailability caused by third-party providers (e.g., WhatsApp, OpenAI, Google Dialogflow).
- The Company shall use commercially reasonable efforts to ensure the continuous operation of InfoPilot.ai. However, temporary downtime may occur due to maintenance, updates, or unforeseen circumstances.
4. Customer Obligations
4.1 Compliance with Laws
- The Customer must use InfoPilot.ai in compliance with all applicable laws, regulations, and industry standards, including but not limited to the UK GDPR, Data Protection Act 2018, and communications regulations.
4.2 Account Security
- The Customer is responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account.
- If the Customer suspects unauthorized access, they must notify support@reloadzx.com immediately.
4.3 Data Ownership and Responsibility
- The Customer retains ownership of all data entered into InfoPilot.ai.
- The Company does not claim ownership over Customer data but requires a license to process, store, and transmit such data strictly for the purpose of providing services.
- The Customer is responsible for ensuring that any customer data processed through InfoPilot.ai complies with data protection laws.
4.4 Prohibited Uses
The Customer agrees not to use InfoPilot.ai to:
- Process sensitive personal data (e.g., health records, biometric data) without proper legal grounds.
- Transmit spam, malware, or other harmful content.
- Engage in fraudulent or misleading activities.
5. Pricing and Payment Terms
5.1 Subscription Plans
- InfoPilot.ai operates on a subscription-based model with different service tiers available at https://infopilot.ai/pricing.
- The Customer may choose between monthly or annual billing cycles, and all applicable fees will be displayed before confirmation of the subscription.
- Free plans may be available with limited features, subject to changes at the Company’s discretion.
5.2 Payment Processing
- All payments are processed securely through Stripe, our third-party payment provider.
- The Customer must provide valid and up-to-date payment details to maintain their subscription.
- By subscribing, the Customer authorizes InfoPilot.ai to charge the selected payment method automatically for renewal.
5.3 Renewals and Cancellations
- Subscriptions automatically renew unless canceled before the next billing date.
- Customers can manage or cancel their subscription via the account settings or by contacting support@infopilot.ai.
- No refunds are provided for partial subscription periods unless required by applicable consumer protection laws.
5.4 Failure to Pay
- InfoPilot.ai reserves the right to terminate access if unpaid balances persist beyond this period.
- If a payment fails, the Customer will receive a notification and have 7 days to update payment details before the account is suspended.
6. Data Protection and Privacy
6.1 Compliance with UK GDPR
- InfoPilot.ai is committed to protecting personal data in accordance with the UK GDPR and Data Protection Act 2018.
- Our Privacy Policy at https://infopilot.ai/privacy-policy provides details on how we process, store, and protect user data.
6.2 Processor Role
- In most cases, InfoPilot.ai acts as a “Data Processor”, processing data on behalf of the Customer (“Data Controller”) under the terms of the Data Processing Agreement (DPA) available at https://infopilot.ai/dpa.
6.3 Data Security
- The Company implements industry-standard security measures, including encryption, firewalls, and access controls to protect Customer data.
- Customers are responsible for securing their login credentials and ensuring that data shared with InfoPilot.ai complies with applicable privacy laws.
6.4 Data Retention
- Customer data is stored only for the duration of an active subscription.
- Upon account termination, data will be deleted or anonymized within 30 days, unless legally required to retain it.
6.5 Third-Party Integrations and Transfers
- If the Customer connects third-party services (e.g., WhatsApp, Messenger, Slack, Zendesk, OpenAI), some data may be shared with those platforms, subject to their own privacy policies.
- Where data is transferred outside the United Kingdom or EEA, we ensure compliance through Standard Contractual Clauses (SCCs) or recognized adequacy frameworks.
7. Service Termination and Suspension
7.1 Termination by the Customer
- Customers may terminate their subscription at any time via the account dashboard or by contacting support.
- Termination will take effect at the end of the billing cycle, with no further charges.
7.2 Termination by InfoPilot.ai
- InfoPilot.ai reserves the right to suspend or terminate accounts immediately, without prior notice, in cases of:
- Violation of these terms, including misuse of the platform.
- Non-payment beyond the grace period.
- Legal or regulatory obligations requiring service discontinuation.
7.3 Effect of Termination
- Upon termination, the Customer will lose access to the platform, and all stored data will be permanently deleted within 30 days, unless required otherwise by law.
8. Limitation of Liability
8.1 No Guarantees of Uninterrupted Service
- While we strive for 99.9% uptime, InfoPilot.ai does not guarantee uninterrupted availability and is not liable for temporary outages.
- The platform may be subject to maintenance, updates, or unforeseen disruptions beyond our control.
8.2 No Liability for Third-Party Services
- InfoPilot.ai integrates with external providers (e.g., OpenAI, Google Dialogflow, Stripe, WhatsApp), and we are not responsible for their availability, accuracy, or changes in service.
8.3 Limited Liability
- To the fullest extent permitted by law, InfoPilot.ai’s total liability for claims relating to the service shall not exceed the total amount paid by the Customer in the last 12 months.
8.4 Exclusion of Indirect Damages
- InfoPilot.ai shall not be liable for indirect, consequential, or incidental damages, including:
- Loss of revenue or business opportunities.
- Data corruption or loss due to third-party integrations or user error.
9. Governing Law and Dispute Resolution
9.1 Applicable Law
- This Agreement shall be governed by the laws of England and Wales.
9.2 Jurisdiction
- Any disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
9.3 Alternative Dispute Resolution (ADR)
- Before taking legal action, both parties agree to attempt mediation or arbitration to resolve disputes amicably.
10. Changes to the Terms
10.1 Right to Modify
- InfoPilot.ai reserves the right to update these terms at any time.
- Customers will be notified via email at least 30 days in advance of material changes.
10.2 Acceptance of Changes
- Continued use of the platform after modifications constitutes acceptance of the new terms.
